Associate to join our team, reporting directly to the Investment Legal Counsel at CSBR and supporting the investment legal team in maintaining dual reporting to the CSBR's Country Manager and Global General Counsel at Saison International based in Singapore.
This person will play a critical role in supporting the investment legal functions related to capital markets transactions, providing legal insight and analysis across securitized investments such as FIDCs, CRIs, and Debentures.This person will collaborate closely with internal teams — including Global Legal & Compliance, Lending, Finance, and Governance teams — as well as with external stakeholders such as fund administrators, legal advisors, and originators.This position offers a unique opportunity to contribute to the development of investment legal framework, enhance knowledge through different investment opportunities and ensure execution of transactions in line with global standards.Main AreasDeal Flow SupportStructure, review, and negotiate investment agreements, ensuring compliance with regulatory and Credit Committee requirements, conducting legal due diligence, and mitigating potential risks in new deals;Support the Investment Legal team in the preparation of Credit Committee materials and ensure that the investment team executes investments in line with Credit Committee policies and approvals;Support the Investment Legal team in managing key relationships with Lending team, Global Legal & Compliance, external legal advisors, fund administrators, fund managers, originators, and any other partners.Portfolio MaintenanceInvolves ongoing legal oversight of existing investments, including contract enforcement, regulatory compliance and updates, risk mitigation and management report;Support portfolio management activities such as voting at quotaholders' meetings, monitoring existing portfolio, and facilitating collaboration with third parties, CSBR's teams, and Global teams, as needed;Maintain effective communication with both internal (CSBR and Saison International) and external stakeholders.General MattersEnhancing internal legal processes, developing standardized templates, optimizing due diligence workflows, and implementing best practices to increase efficiency in both legal analysis and investment process;Coordinating cross-functional legal initiatives, improving reporting structures and weekly routines with stakeholders;Support the investment legal team in addressing and clarifying governance matters that may arise from new investments and/or existing portfoliosSupport knowledge sharing and internal development initiatives through the preparation of materials or participation in training activities.Main ResponsibilitiesCoordinate the execution of legal documents in compliance with internal legal policies, including deliveries to third parties and/or the Global L&C Team;Coordinate the review and execution of Non-Disclosure Agreements (NDAs);Prepare legal document checklists for each investment, tailored to the originator and proposed structure;Organize the flow of information between external service providers, internal stakeholders, and originators;Coordinate and perform legal due diligence and compliance background checks using specialized legal tools;Identify and map potential service providers, define scope of work, and coordinate engagement in accordance with CSBR's internal policies;Coordinate the execution of legal documents required under CSBR's credit policy;Review, draft, and negotiate strategic agreements and investment documentation, ensuring alignment with internal stakeholders;Monitor investment-related obligations and conditions alongside fund managers and originators;Monitor regulatory updates that may impact CSBR's investment portfolio and operations;Coordinate disbursement processes with the Lending and Finance teams, as well as with fund managers, distributors, and originators;Coordinate the review and execution of quotaholders' meeting documentation for invested funds and originators;Develop educational materials and facilitate internal training sessions for CSBR and/or other global teams at Saison International;Coordinate and create monitoring routines through legal tools;Draft and review credit policies with input from the CSBR Lending team and/or other global teams at Saison International;Address investment-related inquiries from Internal Audit, Finance, and Governance teams.Skills, Experiences & Qualifications5+ years of experience as a lawyer in capital markets transactions, including Debentures, CRIs/CRAs and FIDCs;Bachelor's degree in law;Duly registered with the Brazilian Bar Association (OAB);Strong ability to manage priorities;Good organization and proactive profile;Clear and objective communication skills for interaction with diverse internal and external stakeholders;Fluency in English (written and spoken);Excellent legal technical skills and strong attention to detail;Solid interpersonal and collaborative abilities.
