We are looking for an experienced in-house counsel who has good legal and business judgment, with a proven track record of providing outstanding and timely legal support. In this role, you will serve as a trusted advisor to business, product and sales executives and drive strategic deals and initiatives with our customers and collaborative partners. In addition, this role will provide support to HHRR, Global Procurement and Finance. You will draft and negotiate complex legal agreements and work with cross-functional teams of lawyers, HR, finance and accounting specialists, product managers and sales teams in order to solve legal and business challenges. You will provide strategic advice related to labor issues in the region, internal policies related to procurement, corporate affairs and any legal need the company may require. The position is based at BMC Software's offices in Sao Paulo, Brazil and will report to the local Legal Manager Primary Responsibilities Include:
1. Drafting and negotiating a broad range of product, licensing, subscription, confidentiality, and services agreements.
2. Maintaining corporate governance for local subsidiary and supporting corporate changes.
3. Providing legal support to RRHH, Global Procurement, and Finance.
4. Closely collaborating with key cross-functional stakeholders.
5. Performing continuous improvement of standard form agreements, policies and processes.
6. Ability to work independently, prioritize workloads and communicate with all levels of the organization including senior management.
7. Developing strategies to deal with outside counsels in the Region, to direct their work and ensure their cost-effectiveness and quality.
8. Excellent interpersonal skills and capacity to work in multidisciplinary non-legal groups. Ability to prioritize work, effectively manage a large number of issues at one time.
Background/Qualifications:
9. Law degree and 5-10 years of relevant in-house experience, preferably software licensing transaction experience.
10. Knowledge of public contracting practices in Brazil.
11. Licensed to practice, in Brazil.
12. Strong negotiation skill.
13. Ability to work in collaboration.
14. Advanced communication and written skills.
15. Fluency oral and written in English and Portuguese.
16. Experience in with I.T. agreements is a strong plus.
